RIGS FOR IMMEDIATE SALE “AS IS AND WHERE IS”
REQUEST FOR BIDS FOR THE ACQUISITION OF MOBILE OFFSHORE DRILLING RIGS (ONOME AMD ORITSETIMEYIN)
1. BACKGROUND
Rigs Onome and Oritsetimeyin are part of the Eligible Bank Assets (EBAs) under Asset Management Corporation of Nigeria’s (AMCON) asset portfolio, acquired pursuant to AMCON’s statutory powers and mandate under the AMCON Act (as amended). The Rigs were acquired through a Loan Purchase and Limited-Service Agreement (“LPLSA”) dated 2/1/12, with which AMCON bought over First Bank of Nigeria s (“FBN”) loan rights and the assets charged, mortgaged, or pledged as security with respect to the unpaid debt of Seawolf Oilfield Services Ltd. (now Seawolf Oilfield Services Ltd. (in receivership) (“Seawolf”) owed to FBN.
We are desirous of selling the two Rigs “AS IS AND WHERE IS”.
2. DESCRIPTION AND LOCATION OF RIGS ORITSETIMEYIN AND ONOME
Rig Oritsetimeyin is a Friede and Goldman self- elevating cantilever jack up drilling rig manufactured in Sharjah, UAE by U.S. Co. Inc. and completed in 2008. The Rig was designed to operate 3000ft water depth to a rated drilling depth of 30,000ft; and it provides a drilling envelope of 50ft extended and 15ft on either side of the centre line. This enables the rig to access multiple wells on a platform without moving. Rig Oritsetimeyin is currently at Escravos, Warri, Delta State, Nigeria.
Rig Onome is a sister rig to Oritsetimeyin, also a Friede and Goldman self-elevating cantilever jack up drilling rig built in Sharjah, UAE by Bake Marine Services and completed in 2009. The Rig was similarly designed to operate 3000ft water depth to a rated drilling depth of 30,000ft. Rig Onome is currently at Marina Jetty, Lagos, Nigeria.
3. ELIGIBILITY TO PARTICIPATE
To participate in the process, an interested party must meet the following criteria:
(i) Individual / Corporate entity must not be indebted to AMCON
(ii) Directors of interested companies must not be indebted to AMCON
(iii) Individual must not be an AMCON employee a relative of an AMCON employee or member of the Board of AMCON.
4. MODE OF APPLICATION AND REQUIREMENTS
Interested buyers of the Rigs should send their bids to the company and address below on or before July 30, 2021, indicating the offer price for any of the Rigs they are interested in. The profile of the buyer should be included and same should contain its certificate of incorporation and the relevant company registration documents showing details of the company directors, shareholders, and ownership structure. The contact persons, office, and contact address, including telephone numbers and e-mail addresses, should also be provided.
5. INSPECTION OF RIG
Bidders are encouraged to visit the Rigs at their present locations between the date of this publication and July 30, 2021 before submitting their bids.
6. PROCEDURE FOR THE SUBMISSION OF BIDS
BIDS must be submitted in a sealed envelope with one original and 5 copies, duly signed by the authorized representative of the applicant and delivered alongside 5% of the bid amount in certified Bank Draft payable to the Asset Management Corporation of Nigeria (AMCON) or evidence of the transfer of 5% of the bid sum to AMCON via Remita platform.
7. EVALUATION OF BIDS
(i) Each of the Rigs will be offered to the highest bidder(s), subject the bid being higher or equal to the reserve price
(ii) Bids must comply with all Government statutory requirements and financial regulations including of KYC forms.
(iii) Full payment must be made within 30days of the receipt of notification of the success of the bid.
(iv) The Rigs are to be sold “as is and where is”, and no warranty or guarantee is given on the condition of the Rigs.
(v) Conclusion of Sales of some Assets/properties, due to size, may further be subject to higher authority approval.
8. NOTIFICATION OF RESULTS
Successful bidder(s) will be informed in writing. If the need arises, communication may be made to multiple bidder(s) on the basis of first to pay.
